CONTENT LICENSING AGREEMENT
***The picture set referred to in this agreement is owned by ZIPMasters Inc . ZIP Content! is ditributing the picture set for ZIPMasters Inc and does not retain ownership of the pictures. In effect, the legal documents and model releases are held by ZIPMasters Inc : 458 Henri-Duhamel, Verdun, Quebec, H4G 2C2, Canada.
In the following agreement, the party who is receiving the right to use the licensed property will be referred to as "licensee".
Content Title included in this license: ZIP PHOEBE #1.
The parties agree as follows:
1. ZIPMasters Inc owns/distributes the ZIP PHOEBE #1 in accordance with this agreement, ZIPMasters Inc grants the licensee a non-exclusive website license to display and use the ZIP PHOEBE #1 for online user downloading from the licensee's websites. ZIPMasters Inc retains title and complete ownership of the ZIP PHOEBE #1. The licensee agrees not to sell or distribute the ZIP PHOEBE #1 on diskettes, CD ROMS or any other medium. The licensee is not allowed to trade any of the portion of the ZIP PHOEBE #1 to any other sites for any other service or product.
2. The ZIP PHOEBE #1 may be displayed and used within up to three websites (which are provided by the licensee at the bottom of this agreement) which are owned and operated by the licensee. The ZIP PHOEBE #1 can be used for HTML design, logo design and banner design by the licensee at no extra cost. The Licensee is allowed to resize, rename or change the format of the images within the ZIP PHOEBE #1. No portion of the ZIP PHOEBE #1 can be posted in newsgroups. thumbnail gallery posts or posting boards. All pictures, video or text within the ZIP PHOEBE #1 must be viewed through the licensee's websites.
3. The ZIP PHOEBE #1 is licensed and all models are over the age of 18 at the time of photography. ZIPMasters Inc retains the model releases, and will produce any model release for any pictures within the ZIP PHOEBE #1 in the even that the ZIP PHOEBE #1 is challenged.
4. This agreement shall be binding on any successors of the parties. The licensee does not have the right to assign its interests in this agreement to any other party, unless the prior written consent is obtained by ZIPMasters Inc , an administrative fee will apply. In the event of bankruptcy by the licensee, this license becomes terminated.
5. This agreement contains the entire agreement of the parties and there are no other promises or conditions in any other agreement whether oral or written. This agreement requires that licensee must e-mail must complete the online license register form and receive a license certification number provided by ZIPContent in order for this agreement to be binding. All information provided to ZIPContent can be verified and must be accurate. This agreement supersedes any prior written or oral agreements between the parties.
Licensee agrees to notify ZIPContent of all changes to the personal information provided below via e-mail.
6. This agreement may be modified or amended by ZIPContent, and the amendment will be sent to the licensee in writing.
7. APPLICABLE LAW. This agreement shall be governed by the laws of the United States. The Licensee holds ZIPMasters Inc and ZIPContent harmless for any legal issues relating the distribution of the material within the ZIP PHOEBE #1 as it relates to the community standards and adult entertainment laws as set forth in the city/county, state or country of the Licensee and his or her websites. ZIPMasters Inc and ZIPContent does not warrant this material to be acceptable in licensee's community, and the licensee has assumed full responsibility for determining what images, video clips or stories are suitable for distribution. ZIPMasters Inc warrants the ZIP PHOEBE #1 are fully copyrighted, and the licensee warrants the ZIP PHOEBE #1 free of intellectual property violations only. All images, video clips and stories within the ZIP PHOEBE #1 are in compliance with
United States Federal Law.

By filling out the information below, the licensee certifies that he/she received what he/she paid for and that he/she has dowloaded a full copy of ZIP PHOEBE #1 (50 pictures) for use on his/her website(s). If for any reason payment is withdrawn or not obtained from the licensee, this agreement subsequently becomes terminated.
